These terms govern the sourcing services we provide to you. They set out what we do, what we do not do, how we are paid, and where responsibility sits between you, us and the manufacturer.
These terms form an agreement between:

referred to below as "we", "us" or "Istros";
and you, the client commissioning the sourcing work, referred to below as "you". These terms apply to clients acting in the course of a business.
An agreement comes into effect when you sign the written scope document for the project. That document records the specific requirement, the services to be performed and the fee, and these terms apply to it.
We provide sourcing services for machined and fabricated metal parts manufactured in Bulgaria.
The entry point is a feasibility check. You send a drawing and your volumes, and within three working days we tell you whether Bulgarian manufacturers can make the part, roughly what it is likely to cost, and whether it is worth going further. The feasibility check is free, and it places no obligation on you or on us. Nothing in these terms obliges either of us to proceed beyond it.
If you decide to go further, a sourcing project consists of:
We separately offer transport coordination: we arrange the carrier and the paperwork for a shipment. The carrier contracts with you and invoices you directly, so the freight cost is not ours and is not included in our fee.
The services, deliverables and scope boundaries for your project are those recorded in the signed scope document. Anything not recorded there is outside the engagement.
This section is as important as the one above. To state it plainly:
Your remedies in respect of the goods themselves lie against the manufacturer under your contract with them. Our responsibility is limited to the sourcing work described in section 2, and is subject to section 11.
You pay us. No part of our fee comes from the manufacturer. See section 7.
The feasibility check described in section 2 is free of charge. It carries no obligation on either side, and no invoice follows it.
A fixed fee of EUR 2,000 for the work described in section 2: requirement review, supplier search, factory visits with a written report on each, quotes collected on one comparable basis, and a recommendation. Travel within Bulgaria for those visits is included.
EUR 300 is payable on signature, as a deposit. EUR 1,700 is payable on delivery of the shortlist, the visit reports and the quotes.
If you place an order with a manufacturer we introduced to you, within twelve months of that introduction, a success fee of 0.5% of the value of that first order is payable, whether or not the order is placed through us. The success fee is capped at EUR 2,500 however large the order.
The success fee applies to the first order only. Repeat orders with the same manufacturer carry no fee.
The success fee falls due within 14 days of the order being placed. You tell us the value of the order; we rely on the figure you give us.
A fixed fee of EUR 200 per shipment for arranging the carrier and the paperwork, invoiced when the booking is made. The carrier's own charges are payable by you to the carrier, and are not part of this fee.
All invoices are payable within 14 days of issue.
At signature we record the specification in writing: the part, the materials, the tolerances, the volumes and anything else the search depends on. Everything else in the engagement refers to that written specification.
If no manufacturer meeting the agreed specification is willing to quote, we deliver the written finding anyway: who was approached, who declined, and the reasons they gave. We then return the EUR 300 deposit, and the EUR 1,700 balance does not become due.
If you change the specification after signature, the engagement as agreed is complete and a new engagement begins for the changed specification. The deposit for the completed engagement is not returned.
If you stop the project for your own reasons after signature, the deposit is not returned and the balance does not become due.
A quote that comes in higher than you hoped is a result of the search, not a failure of it. What you are paying for is to find out what your part actually costs to make in Bulgaria, from manufacturers who have been visited and asked properly. A clear answer that the number does not work for you is still an answer, and the fee remains payable. The deposit is returned only in the case described above, where no manufacturer meeting the specification will quote at all.
Each factory we visit during a sourcing project is written up in a visit report, delivered to you as part of the engagement.
You have a licence to use the reports for your own purchasing decisions, for as long as you need them. Copyright in the reports stays with us. They may not be published, sold, or passed to any other company.
A visit report records what was observed on the day of the visit. It is not a certification, it is not an audit against any standard, and it is not a guarantee of how that manufacturer will perform afterwards. Section 11 applies to it.
We take no commission, rebate, referral fee or other payment of any kind from any manufacturer, in connection with your project or otherwise. A manufacturer's quotation reaches you exactly as they gave it.
This is the reason we are able to recommend against a manufacturer as readily as we recommend one, and we regard it as a condition of the service rather than a feature of it.
We name the manufacturer to you before you commit to anything. That disclosure is what makes the service useful, and it necessarily means you could contact them without us.
The success fee in section 4 is owed on the first order you place with a manufacturer we introduced, whether or not that order is placed through us, provided the order is placed within twelve months of the introduction. Orders after that first one carry no fee.
This does not apply to a manufacturer with whom you already had a relationship before we introduced them.
Drawings, models, specifications, tolerances, volumes, pricing and commercial intentions you share with us are your confidential information. We will:
This obligation continues for as long as the information remains confidential.
You confirm that you are entitled to share what you share with us, and that doing so does not infringe a third party's rights. Intellectual property in your drawings and specifications remains yours throughout; nothing in these terms transfers it to us or to a manufacturer.
Personal data is handled as described in our Privacy Policy.
So that the limits in section 3 are workable in practice, you are responsible for:
Nothing in these terms limits or excludes liability where it cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that:
An engagement runs until the services recorded in the scope document have been delivered. Section 5 sets out what happens if the specification changes, if you stop the project, or if no manufacturer will quote.
Sections 3, 6, 7, 8, 9 and 11 survive the end of an engagement.
Our fees are quoted in euro and are net of any tax that applies. Where tax is chargeable, it is added to the invoice at the applicable rate.
The manufacturer invoices you separately for the goods, and any carrier invoices you separately for the freight. Those invoices are not ours.
These terms, and any dispute arising out of or in connection with them including non-contractual disputes, are governed by the law of the Republic of Bulgaria.
Disputes are to be brought before the competent court in Sofia, Bulgaria.
These terms are written in English, and English is the language of the agreement.
